Terms of Service
Last updated: August 9, 2026
1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of apexreactivation.com (the "Site") and any services provided by Apex Reactivation ("Apex," "we," "us," or "our"), operated by Robert Thompson, a sole trader based in the United Kingdom. By submitting our application form, engaging our services, or otherwise using the Site, you agree to these Terms.
2. Description of Services
Apex Reactivation provides performance-based dormant patient/lead reactivation services to cosmetic and aesthetic practices located in Florida, USA. Our service uses outreach sequencing (including WhatsApp and SMS) to re-engage a client's existing dormant leads and generate confirmed appointments.
3. Eligibility
Our services are intended for licensed cosmetic and aesthetic practices (including but not limited to med spas, laser clinics, injectable providers, and body contouring practices) operating within Florida, USA. Submitting an application does not guarantee acceptance as a client. We reserve the right to decline any application at our discretion.
4. Application & Qualification Process
Information submitted via our application form is used solely to assess fit between your practice and our service. Submission of an application does not create a contractual relationship. A formal service agreement, including specific commercial terms and a Data Processing Agreement, will be issued separately upon acceptance.
5. Performance-Based Fee Model
Unless otherwise agreed in a separate written contract:
Apex operates on a performance-only basis — fees are charged only for confirmed appointments.
A “confirmed appointment” means a scheduled consultation or treatment appointment with a dormant lead who has explicitly confirmed attendance through the outreach sequence and has not cancelled or failed to attend prior to the scheduled time.
Exact fee per confirmed appointment, reporting method, and payment terms will be set out in the individual service agreement.
• No retainer or upfront fees apply unless expressly agreed in writing.
6. Client Responsibilities
By engaging our services you confirm and warrant that:
You are the data controller of the patient/lead information you provide.
You have a lawful basis (including any required prior express written consent under the TCPA) to share the contact information with us and for automated outreach to be conducted.
The contact list has been lawfully compiled and does not include individuals who have previously opted out or are on a do-not-contact list.
You will promptly notify us of any opt-out requests you receive.
• You will enter into a separate Data Processing Agreement with us before any patient data is transferred.
You agree to indemnify and hold Apex harmless against any claims, penalties, fines, or losses arising from a breach of the warranties in this Section, including claims relating to inaccurate consent representations or unlawfully compiled contact lists.
7. Data Processing
We act solely as a data processor on your documented instructions. Our handling of personal data is governed by our Privacy Policy and the Data Processing Agreement executed between us. We do not sell, rent, or use patient data for any purpose other than delivering the agreed reactivation service.
Each party agrees to keep confidential any non-public business information disclosed by the other party in connection with the services, including pricing, strategy, and campaign performance data, and not to disclose it to third parties except as required by law or to perform obligations under these Terms.
8. Payment Terms
Invoices for confirmed appointments will be issued according to the schedule in the service agreement (typically weekly or monthly). Payment is due within the period stated on the invoice. Late payment may result in suspension of services.
9. Intellectual Property
All content, systems, sequences, and materials provided by Apex remain our intellectual property. You receive a limited licence to use campaign reports and results solely for your internal business purposes.
10. Limitation of Liability
To the maximum extent permitted by law, Apex’s total liability arising out of or in connection with the services shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, or consequential losses, including lost revenue, provided we have acted in accordance with these Terms and the service agreement.
This limitation does not apply to losses arising from fraud, gross negligence, or breach of the confidentiality or data protection obligations in these Terms.
11. Termination
Either party may terminate the service agreement in accordance with the notice period set out in that agreement. Upon termination we will cease outreach and delete or return patient data under our direct control within the timeframe stated in the Data Processing Agreement, subject to any legal retention requirements.
12. Governing Law
These Terms and any dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page will reflect the most recent version. Continued use of the Site or services after changes constitutes acceptance of the revised Terms.
